Acceptance of User Agreement
This user agreement (“Agreement”) is a contract between you (the “User” or “Users”) and Sprigo Limited, a United Kingdom company registered at Third Floor, 207 Regent Street, London, W1B 3HH. The Site is offered to you on the condition that you agree and accept all the terms in this Agreement. If you do not agree to any one of these terms or conditions you should immediately cease to use this Site.
Please note that we may close, suspend, or limit your access to your Sprigo account ("Account") or the Services provided by us on the Site ("Services") if you carry out activities which are in contravention of this User Agreement.
Sprigo may amend or modify this Agreement without notice, effective at the time of posting.
We are committed to protecting your privacy. Authorised employees within the company on a need to know basis only use any information collected from individual customers. We constantly review our systems and data to ensure the best possible security for our customers. We will not sell, share, or rent your personal information to any third party or use your e-mail address for unsolicited mail. Any emails sent by this Sprigo will only be in connection with the provision of agreed services and products.
Exclusions and Limitations
The information on this web site is provided on an "as is" basis. To the fullest extent permitted by law, Sprigo:
excludes all representations and warranties relating to this website and its contents or which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this website and/or the Company’s literature; and
excludes all liability for damages arising out of or in connection with your use of this website. This includes, without limitation, direct loss, loss of business or profits, damage caused to your computer, computer software, systems and programs and the data thereon or any other direct or indirect, consequential and incidental damages.
Sprigo merely acts as a portal between the Users to buy or sell professional services. You agree that Sprigo is not involved in the transactions between the Users and thus is not liable for the quality of service that the Freelancers provide or the Employers payments.
In the event of termination, you will have no claim whatsoever against Sprigo.com in respect of any such suspension or termination of your membership.
The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer are affected.
Fees and Payments
Sprigo fees are set at 10% of the final gross payment to the Freelancer. Once the payment is released by the Employer, Sprigo’s fees will be deducted and the balance deposited into the Freelancers Paypal account. Your Account and all transactions are made and displayed in the currency of your choice.
Sprigo earns fees for creating, hosting, maintaining, and providing the Site, and for all Services delivered by Sprigo that are accessible through the Site and to cover expenses and fees Sprigo incurs to banks, credit card companies, PayPal, and payment processors.
Sprigo charges fees only at the end of the transaction and at no other time will you be charged by Sprigo.
Sprigo reserves the right to change the set fee percentage with prior notice to its members at its discretion.
The receiver bears all and any Paypal transaction fees. In the event of a Network Affiliate payment, the Paypal fee is split between all 3 parties, Sprigo, the Freelancer and the Affiliate.
Payments are deposited at the beginning of each Working project. Once the Employer is satisfied with the work he will release the payment to the Freelancer. Unreleased payments are held by Paypal for a maximum of 30 days after which time the payment will go back into the Employers account.
Sprigo holds no responsibility for exchange rate losses or currency conversion losses.
Project Cancellation and Refunds
The Employer and the Freelancer have the right to cancel a project. If a project is cancelled the deposited funds will automatically be sent back to the Employer. Cancelations ideally should be made in agreement between the Freelancer and the Employer where both agree to no longer complete the project and only if there is no forseable way to complete the project.
Once the transaction has been completed via the Employer releasing the deposited funds to the Freelancer, Sprigo no longer has the ability or power to refund the Employer. The Employer will need to contact Paypal and open a dispute.
Soliciting payments or contact outside of Sprigo
You are strictly prohibited from soliciting payments outside of Sprigo. If any User, Employer or Freelancer is reported asking for payment outside or Sprigo their account will be terminated and all feedback and portfolios deleted.
You are prohibited from making direct contact with another User, unless it's for a project you (a Freelancer) have been picked for, or you (an Employer) have picked a Freelancer for. This includes giving out your e-mail address, yahoo ID, phone number, or any other method of contact outside of Sprigo. Sprigo.com provides you with an email system, a live communication app and messaging board for pre-project communication.
Sprigo does not allow unsolicited advertising or Spam on it’s website by any User. We will automatically suspend any account that is reported as spamming by 3 Users in one day without prior notice.
Sprigo is Not a Party to Disputes
Any disputes regarding arrangements between Freelancers and Employers remain solely between Employers and Freelancers. Sprigo does not get involved in any transactions between you and any other Users of Sprigo.
You acknowledge and agree that Sprigo will not be a party to any disputes that arise from using Sprigo services.
If you have a dispute with any other users of the Site, you hereby release Sprigo from all claims, demands, damages, actual and consequential, which is related to such a dispute.
Users are prohibited from advertising on Sprigo. Any website posted in a bid, project description, or the message board, must relate to a project on Sprigo.com. An example of a permissible URL would be a User's portfolio or resume page.
Sprigo will verify and regularly monitor user accounts to ensure their validity, correctness of data and high quality of provided services. Based on the findings and the assessment of the available information, Sprigo reserves the right to disable any user account that does not meet the criteria of professional work or conduct.
Copyright and other relevant intellectual property rights exists on all text relating to the Sprigo’s services and the full content of this website.

The laws of England and Wales govern these terms and conditions. By accessing this website and using our services you consent to these terms and conditions and to the exclusive jurisdiction of the English courts in all disputes arising out of such access. If any of these terms are deemed invalid or unenforceable for any reason (including, but not limited to the exclusions and limitations set out above), then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply. Failure of the Sprigo to enforce any of the provisions set out in this User Agreement and any Agreement, or failure to exercise any option to terminate, shall not be construed as waiver of such provisions and shall not affect the validity of this User Agreement or of any Agreement or any part thereof, or the right thereafter to enforce each and every provision. This User Agreement shall not be amended, modified, varied or supplemented except in writing and signed by duly authorised representatives of the Sprigo.
Notification of Changes
These terms and conditions form part of the Agreement between the Client and ourselves. Your accessing of this website and/or undertaking of a booking or Agreement indicates your understanding, agreement to and acceptance, of the Disclaimer Notice and the full User Agreement contained herein. Your statutory Consumer Rights are unaffected.
Any dispute arising out of or in connection with this User Agreement shall be governed by the laws of the United Kingdom. You and Sprigo.com irrevocably submit to the non-exclusive jurisdiction of the courts of United Kingdom.
